1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between STEAM Hub Software Corp, a Delaware Corporation doing business as String ("Company," "we," "us," or "our"), and you ("Customer," "you," or "your"), whether you are an individual teacher, a school administrator, or an authorized representative of a school district.

By accessing or using our website (String.education) and our SaaS application (the "Services"), you agree to be bound by these Terms. If you are entering into this agreement on behalf of a School or District, you represent that you have the authority to bind that entity.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.

2. Description of Services & AI Disclaimer

2.1 The Service

String is an AI-driven Digital Learning Environment (DLE) designed to assist educators in curriculum planning, grading, and student performance analysis.

2.2 AI Output Disclaimer

The Services utilize Artificial Intelligence ("AI") and machine learning technologies to generate content, insights, and "Learning DNA" profiles ("Output"). You acknowledge that:

  • (a) AI technologies are probabilistic and may produce Output that is inaccurate, incorrect, or misleading ("Hallucinations").
  • (b) String does not guarantee the accuracy, completeness, or reliability of any Output.
  • (c) You are solely responsible for evaluating the Output and should not rely on it as a substitute for professional human judgment or educational oversight.

3. Account Registration & Responsibilities

3.1 School Accounts

To access the Services, you must register an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials.

3.2 Authorized Users

If you are a School District, you are responsible for:

  • (a) Ensuring that only authorized teachers and students access the Services.
  • (b) Managing parental consent for students under 13 (in compliance with COPPA) before allowing them to access String.

4. Payment, Invoicing, and Checks

4.1 Subscription Fees

Services are billed on a subscription basis ("Subscription Fees"). Pricing is set forth in the applicable Order Form or pricing page.

4.2 Payment by Check & Invoicing

For Enterprise or School District accounts paying by check or wire transfer:

  • Invoicing: We will invoice you in advance for the Subscription Period.
  • Payment Terms: Unless otherwise stated in your Order Form, all invoices are due Net 30 days from the invoice date.
  • Check Processing: Payments made by check are considered "paid" only when the funds verify and clear. You agree to pay a $50 administrative fee for any returned or bounced checks.
  • Mailing Address: Checks must be mailed to the address specified on the Invoice (currently: 301 Congress Ave, Austin, TX 78701).

4.3 Late Payments

Unpaid amounts are subject to a finance charge of 1.5% per month on any outstanding balance, plus all expenses of collection. We reserve the right to suspend access to the Services if your account is 30 days past due.

4.4 No Refunds

Except as expressly provided in Section 9.2 (Termination for Cause), all payment obligations are non-cancelable and fees paid are non-refundable. We do not provide refunds for partial months or unused services.

5. Intellectual Property & Content Ownership

5.1 Your Content (Teacher/School Ownership)

You retain all rights, title, and interest in:

  • (a) The data, text, files, and student records you upload to the Services ("Customer Data").
  • (b) Any specific teaching materials, lesson plans, or content generated by the Services specifically for you based on your inputs ("Customer Output").

In short: If you create it or the AI generates it specifically for your class, you own it.

5.2 String Ownership (Platform IP)

String retains all rights, title, and interest in and to:

  • (a) The Services, including source code, interface design, and underlying software.
  • (b) The proprietary AI algorithms, models, and "Learning DNA" methodologies.
  • (c) Any Feedback or suggestions you provide regarding the Services.

5.3 License to String

You grant String a non-exclusive, worldwide, royalty-free license to use, host, and process Customer Data solely for the purpose of providing the Services to you and improving our educational algorithms (on a de-identified basis), consistent with our Privacy Policy.

6. Service Level Agreement (SLA) & Support

6.1 Availability

We will use commercially reasonable efforts to make the Services available 24/7, excluding planned downtime.

6.2 Enterprise SLA

For Enterprise Customers with a signed Order Form, we may offer a specific Uptime Guarantee (e.g., 99%). Any such Service Level Agreement (SLA) and associated credits for downtime are strictly governed by the terms of your specific written Order Form. Standard accounts do not carry a financial guarantee for uptime.

7. Data Privacy & Security (FERPA/COPPA)

Our use of student data is governed by our Privacy Policy, which is incorporated herein by reference.

  • FERPA: We act as a "School Official" regarding Student Data.
  • COPPA: Schools are responsible for obtaining necessary parental consent for students under 13.
  • Security: We implement industry-standard security measures to protect your data.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • (A) NO INDIRECT DAMAGES: IN NO EVENT SHALL STRING BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DATA.
  • (B) LIABILITY CAP: STRING'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO STRING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Term and Termination

9.1 Term

The "Initial Term" of your subscription is specified in your Order Form (typically 12 months).

9.2 Termination for Cause

Either party may terminate this Agreement if the other party breaches any material term (including non-payment) and fails to cure such breach within 30 days of written notice.

Refund on Breach: If you terminate for our material breach, we will refund any prepaid fees covering the remainder of the term.

9.3 Effect of Termination

Upon termination, your right to use the Services ceases. We will retain Student Data for a limited period (e.g., 60 days) to allow for data export, after which it will be deleted in accordance with our Privacy Policy.

10. General Provisions

10.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

10.2 Dispute Resolution

Any dispute arising out of these Terms shall be resolved through binding arbitration in Austin, Texas (or such other location mutually agreed upon).

10.3 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between the parties.
